NO CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO USE OF THE SITE OR ITS SERVICES OR THE TERMS OF THIS AGREEMENT MAY BE FILED EXCEPT WITHIN ONE YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE.

10. LIMITATION OF LIABILITY:

IN NO OCCASION SHALL KLGT OR ITS AGENTS, ITS SUPPLIERS, LICENSEES OR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA OR PROFIT, OR DUE TO BUSINESS INTERRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE THE MATERIALS ON H2O’S INTERNET WEBPAGE, EVEN IF KLGT OR ITS AUTHORIZED REPRESENTATIVE HAS BEEN NOTIFIED ORALLY OR IN WRITING OF THE POSSIBILITY OF SUCH DAMAGE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, OR LIMITATIONS OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THESE LIMITATIONS MAY NOT APPLY TO YOU.

13. APPLICABLE LAW AND JURISDICTION:

Regardless of conflict of laws principles, all matters arising out of or relating to this Agreement are governed by and construed in accordance with the internal laws of Dubai without giving effect to any choice or conflict of law provision or rule (whether you live in North America, Latin America, any part of the United States, Africa, Europe, Australia, or any other region) that would cause the application of the laws of any jurisdiction other than those of the Dubai, the laws of Dubai, U.A.E govern the Terms, the interpretation thereof and claims for the breach as well. Any legal suit, action or proceeding arising out of or relating to this Agreement shall be instituted in the federal courts of Dubai, U.A.E. or County of U.A.E, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action or proceeding. If you live in any other region, you and KLGT agree to submit to exclusive jurisdiction in Dubai Court in U.A.E for any and all disputes, claims and actions arising from or in connection with the Service or the Terms. The United Nations Convention on the International Sale of Goods is expressly and excluded from application to the Terms. Any claim or cause of action arising out of or related to the Terms or the use of KLGT Site or its Services must be filed within three (3) months after the cause of action arose or be barred definitely.

14. TERMINATION:

Unless otherwise provided, this Agreement is effective upon your first use of the Services and shall remain in effect until it is terminated in accordance with the terms of this Agreement. You may deactivate or terminate your account or stop using the Site at any time, for any or no reason.

KLGT also reserves the right to suspend, deactivate or terminate your account and your right to use the Site or its Services and may block or prevent your access to and use of its Services at any time if you commit a breach the terms of this Agreement, in KLGT’s discretion. In particular and without limitation, if you breach any or all the terms of use, we may terminate this agreement and your access to the Site or any portion thereof, including any Services at any time, without notice.

15. NOTICES

Whereas KLGT may give you all notice that KLGT is required to give by any lawful method, including by posting the notice on the Site or by sending it to any email or mailing address that you provide to KLGT. 16. WAIVER:

No waiver by KLGT of any of the provisions of this Agreement is effective unless explicitly set forth in writing and signed by KLGT. No failure to exercise, or delay in exercising, any rights, remedy, power or privilege arising from this Agreement operates or may be construed as a waiver thereof. No single or partial exercise of any right, remedy, power or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power or privilege.

17. RELATIONSHIP OF THE PARTIES:

The agreement does not create a partnership, joint venture or relationship of principal and agent between you and KLGT.

18. FORCE MAJEURE

KLGT shall not be liable or responsible to you, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of KLGTincluding, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lock-outs, strikes or other labour disputes (whether or not relating to either party’s workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.
